By accessing or using the Raydify website (raydify.in) or engaging Raydify for any services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our website or services.
Raydify is operated by Raydify Digital Solutions, with its principal office at E15, Hanuman Nagar, Gole Ka Mandir, Gwalior, Madhya Pradesh – 474005, India.
Raydify provides digital marketing, website development, custom software development, AI integration, and related services ("Services") as described on our website and in individual service agreements or statements of work ("SOW").
The specific scope, deliverables, timelines, and pricing for each project are governed by a separate SOW or proposal agreed in writing between Raydify and the client prior to commencement of work.
Payment Terms: Unless otherwise stated in an SOW, Raydify requires a non-refundable advance payment (typically 50% of the total project fee) before commencing work. The remaining balance is due upon project completion and delivery.
Monthly Retainers: For ongoing services (SEO, social media management, etc.), payment is due at the beginning of each billing month. Monthly retainers may be cancelled with 30 days' written notice.
Refund Policy: Advance payments are non-refundable once work has commenced. If Raydify fails to deliver the agreed scope of work, we will work to resolve the issue or offer a fair credit at our discretion. Raydify does not guarantee specific outcomes (e.g., search rankings, revenue increases) as these depend on factors outside our direct control.
Client Content: All content, logos, brand assets, and materials provided by the client remain the intellectual property of the client.
Deliverables: Upon full payment, all custom code, designs, and creative deliverables produced specifically for the client transfer to the client's ownership, unless otherwise stated in the SOW.
Raydify IP: Proprietary tools, methodologies, frameworks, and pre-existing code libraries used in delivering services remain the intellectual property of Raydify. We may grant a non-exclusive licence for the client to use these within the delivered project.
Portfolio Rights: Unless expressly prohibited in writing, Raydify reserves the right to showcase completed client work (anonymised or branded) in our portfolio, case studies, and marketing materials.

Delays caused by the client's failure to fulfil these responsibilities may affect project timelines without impacting Raydify's payment schedule.
Raydify's total liability for any claim arising from or related to our services shall not exceed the total fees paid by the client for the specific service giving rise to the claim in the preceding 3 months.
Raydify is not liable for any indirect, incidental, special, or consequential damages including lost profits, lost revenue, loss of business, or reputational damage, even if Raydify has been advised of the possibility of such damages.
Raydify does not guarantee specific results from digital marketing campaigns, SEO efforts, or any other services, as outcomes are influenced by market conditions, competition, platform algorithm changes, and other factors outside Raydify's control.
Both parties agree to keep confidential any proprietary information, trade secrets, or sensitive business information shared during the course of the engagement. This obligation survives the termination of the service agreement for a period of 2 years.
Either party may terminate an ongoing service agreement with 30 days' written notice. Upon termination, the client shall pay for all work completed up to the termination date. Raydify will deliver all completed work product that has been paid for.
Raydify reserves the right to immediately suspend or terminate services if the client breaches these Terms, engages in unlawful activity, or fails to make required payments after a 7-day cure period.
You agree not to use raydify.in for any unlawful purpose, to transmit harmful content, to attempt to gain unauthorised access to any part of our website, or to interfere with its normal operation.
Raydify reserves the right to modify or discontinue any part of its website at any time without notice.
These Terms are governed by the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Gwalior, Madhya Pradesh, India.
Raydify reserves the right to update these Terms at any time. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
